Terms of Service

1. Agreement to terms

These Terms of Service (the "Terms") govern your access to and use of leavingthematrix.io, the Nova members area at nova.leavingthematrix.io, our Discord community, our email newsletter, and any related products or services (together, the "Service"). The Service is operated by Unycross LLC, a Michigan limited liability company ("we," "us," "our").

By using the Service, you agree to these Terms and our Privacy Policy and Disclaimer. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create a paid membership account. The newsletter and public-facing pages are open to anyone who can lawfully receive email. By using the Service, you represent that the information you provide is accurate and that you have the legal capacity to enter this agreement.

3. The Service

Leaving The Matrix is an investing-education and research community. We publish:

  • A free weekly newsletter ("Free Your Mind")
  • A free public website with educational content, blog posts, and portfolio explainers
  • A paid membership tier ("Red Pill") providing access to a Discord community, the Nova members area, position notifications, and the educational library

We may add, modify, or remove features at any time. We will not make material reductions to active paid members' access without notice.

4. Accounts and security

Paid memberships require an account, created via our authentication provider. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at luke@leavingthematrix.io if you suspect unauthorized access.

Each membership is for one individual. Sharing your account, login, or member-only content with non-members is a material breach of these Terms.

5. Subscriptions and billing

5.1 Pricing

Current pricing is shown on the membership page. Stated prices are in U.S. dollars and exclusive of any applicable taxes, which will be added at checkout where required.

5.2 Billing cycle and auto-renewal

Paid subscriptions are billed in advance for each billing period (monthly or annual, depending on the plan you choose) and renew automatically at the end of each period unless cancelled. By subscribing you authorize us, through our payment processor (Stripe), to charge your payment method at the start of each renewal period at the then-current rate.

5.3 Cancellation

You may cancel your subscription at any time from the "Manage membership" panel inside the members area, or by contacting us. Cancellation takes effect at the end of your current paid billing period — you retain full access through that period, and your card is not charged for the next renewal.

5.4 Refunds

Subscription fees are generally non-refundable once a billing period has begun. We will consider refund requests on a case-by-case basis where there has been a clear billing error or service failure on our part. Refund requests should be sent to luke@leavingthematrix.io.

5.5 Price changes

We may change subscription pricing for new sign-ups at any time. For active members, we will give at least 30 days' notice (sent to the email on your account) before any price increase takes effect at your next renewal. You may cancel before the new price applies.

5.6 Failed payments

If your payment method fails on a renewal, we will retry per Stripe's standard retry schedule. If payment cannot be collected, your access to paid features will be paused until payment is restored or you cancel.

6. Acceptable use

When using the Service, you agree NOT to:

  • Share your account credentials, copy member-only content publicly, or redistribute paid material
  • Scrape, mirror, or harvest any portion of the Service or its data
  • Reverse-engineer, decompile, or attempt to extract source code from the Service
  • Use the Service to violate any law, regulation, or third party's rights
  • Harass, threaten, or abuse other members, contributors, or staff in any LTM space (Discord, comments, replies)
  • Post spam, deceptive content, or unsolicited promotional material in the community
  • Attempt to gain unauthorized access to any account, server, or system
  • Use automated tools (bots, scripts) to interact with the Service without our written permission

Violations may result in immediate suspension or termination of your account without refund.

7. Educational content only — not financial advice

All content on or delivered through the Service is for educational and informational purposes only. Nothing on the Service constitutes investment advice, financial advice, trading advice, tax advice, or any other personalized recommendation. We are not registered investment advisers, broker-dealers, or financial planners. We do not have a fiduciary relationship with you.

Trading and investing involve substantial risk of loss. Past performance does not indicate future results. You are solely responsible for your own investment decisions. See our full Disclaimer for details.

8. Intellectual property

All content on the Service — including articles, signals, charts, software, logos, the "Nova" name and software, the "Free Your Mind" newsletter, and the visual design of the site — is owned by Unycross LLC or our licensors and is protected by copyright, trademark, and other intellectual-property laws.

You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use during the term of your membership. You may NOT copy, redistribute, republish, or commercially exploit any content from the Service without our prior written permission.

9. User content

The Discord community lets you post messages, comments, and other content ("User Content"). You retain ownership of your User Content. By posting, you grant us a worldwide, royalty-free license to host, display, and transmit that content as needed to operate the Service.

You are solely responsible for your User Content. We may remove content that violates these Terms, the Discord community guidelines, or applicable law, at our sole discretion.

10. Termination

You may terminate your account at any time by cancelling your subscription and emailing us to delete your account data.

We may suspend or terminate your access to the Service if you breach these Terms, if your payment method repeatedly fails, or if we are required to do so by law. Where termination is for cause, we may do so without notice and without refund. Where we discontinue the Service entirely or a member-side feature you paid for, we will issue a prorated refund for the unused portion of any prepaid period.

11. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT IS ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNYCROSS LLC, ITS OPERATORS, AFFILIATES, AND CONTRIBUTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR INVESTMENT LOSSES — ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Where liability cannot be excluded by law, our total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the twelve (12) months prior to the claim.

12. Indemnification

You agree to indemnify and hold Unycross LLC and its operators, affiliates, and contributors harmless from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your User Content, or your use of the Service.

13. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Kent County, Michigan, and you consent to the personal jurisdiction of those courts.

Where required by applicable law, you may have additional rights to use small-claims court or alternative dispute resolution. Nothing in these Terms is intended to waive those rights.

14. Changes to these terms

We may update these Terms as the Service evolves. We will post any changes with a new effective date at the top of this page. For material changes, we will notify active members by email at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

15. Miscellaneous

These Terms, along with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Unycross LLC regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision does not waive our right to enforce it later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
